TERMS & CONDITIONS

1.  About Square IT Services

Square IT Services Pty Ltd (ABN 42 623 812 555) is a managed service provider based in Dingley Village, Victoria. We provide IT support and services to small and medium businesses across Melbourne and surrounding areas.

 

These Terms & Conditions apply to all services we provide. By engaging us — whether by signing an agreement, accepting a quote, or continuing to receive our services — you agree to these terms.

 

2.  Our Services

Square IT Services provides a range of IT services to business customers, including:

 

• Microsoft 365 licensing, management, and support

• Cloud backup and data protection

• Endpoint security and antivirus management

• Domain name registration and DNS management

• Remote monitoring and management of devices

• Ad hoc IT support — remote and onsite

• Hardware procurement and deployment

 

The specific services, scope, and pricing applicable to your engagement are set out in your quote, proposal, or Master Services Agreement (MSA). Some services are delivered in part through trusted third-party vendors and their terms may also apply.

 

3.  Fees & Payment

All fees are quoted and invoiced in Australian dollars, exclusive of GST. GST is added at the applicable rate.

 

Payment is due within the timeframe stated on your invoice. Overdue accounts may attract late payment fees and may be referred to a credit collection agency. Reasonable collection costs, including legal fees, may be added to any outstanding debt.

 

Pricing for managed services is reviewed annually. Customers will be given advance written notice of any changes. Specific rates, payment terms, and fee structures are set out in your MSA or quote.

 

For hardware orders, payment in advance may be required depending on your account history and order value. Full details are set out in your MSA.

 

4.  Your Responsibilities

To allow us to deliver services effectively, you agree to:

 

• Provide accurate and timely information when requested;

• Allow reasonable access to your systems, premises, and equipment;

• Implement, or formally advise us in writing that you are declining, any security recommendations we make;

• Notify us promptly of any issues, outages, or suspected security incidents;

• Not use our services for any unlawful purpose.

 

Where we have documented a security recommendation that you have declined, our liability in relation to any resulting loss is reduced accordingly.

 

5.  Instructions & Communication

Email is our authorised channel for service instructions, change requests, and approvals. This allows us to maintain a clear record of all instructions and protects both parties.

 

Telephone calls may be used for urgent matters but should be followed up in writing by email. We may, at our discretion, act on a verbal instruction where we consider it appropriate, but we are not obligated to do so without written confirmation.

 

6.  Liability

To the maximum extent permitted by law, Square IT Services’ liability to you is limited. We are not liable for indirect or consequential losses, including loss of data, loss of revenue, or business interruption.

 

Our total liability in connection with any engagement is capped as set out in your MSA. These limitations do not apply where loss is caused by our gross negligence or wilful misconduct.

 

We are not liable for data loss where a backup service was not in place, or where our documented security recommendations were declined. We are not liable for the failure of third-party hardware or software not supplied by us.

 

7.  Privacy

We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. We collect and use your information only for the purpose of delivering our services and managing our business relationship with you.

 

We do not sell your data to third parties. For full details, please refer to our Privacy Policy available on our website.

 

8.  Termination

Either party may end a managed service arrangement by providing written notice as set out in the applicable MSA. We reserve the right to suspend or terminate services immediately where an account is significantly overdue or where continued engagement would be unlawful or unreasonably harmful.

 

9.  Disputes

If a dispute arises, we ask that you contact us directly in the first instance so we can work toward a resolution. If the matter cannot be resolved informally, it may be referred to mediation before either party pursues legal action.

 

These terms are governed by the laws of Victoria, Australia.

 

10.  Master Services Agreement

Customers engaged with Square IT Services under a formal agreement are subject to our Master Services Agreement (MSA), which contains the full commercial terms applicable to your engagement — including fee structures, service schedules, liability caps, insurance, and termination provisions.

 

The MSA is provided to you directly at the commencement of your engagement and is referenced on all formal quotes and invoices. It is not publicly available. If you require a copy, please contact us at info@squareit.com.au.

 

In the event of any conflict between these Terms & Conditions and your MSA, the MSA governs.
